Profile and tasks of the Advisory board
The Advisory Board of the GGA Foundation has an independent, advisory function and supports the board in realizing the objectives of the foundation. The board provides solicited and unsolicited advice on the policy and its implementation. With representatives from the entire chain, the Advisory Board offers a wide range of knowledge and expertise. In case the GGA Board chooses to deviate from advice from the advisory board, they should explain the reasoning. The Advisory Board acts as a sounding board and contributes to the strategic direction of the foundation.
1. Composition of the Advisory Board
- The Advisory Board consists of at least 5 members.
- The exact number of members is determined by the foundation’s board, depending on the need for specific expertise and representativeness within the chain.
2. Profile sketch of Advisory Board members
- The Advisory Council reflects the entire chain of work clothing, work shoes and personal protective equipment (PPE).
- Members have knowledge and experience within their field of work and are willing to contribute to the Advisory Board.
- The aim is to have a representation of the following groups:
- Producer: A representative of a manufacturer.
A producer must be affiliated as a donating producer with Foundation GGA. - Importer/Brand Owner: A representative of an importer or an owner of a relevant brand.
The Importer/Brand Owner must be affiliated as a donating Producer with Foundation GGA. - Point of Sale: A representative of a physical store, distributor, or online retailer.
- End user: A representative of the users of work clothing or PPE, for example an employee or employer in a relevant sector.
- Recycler: A representative of an organization that focuses on the processing or recycling of work clothing and PPE.
- Policy maker: Someone with expertise in policy, regulations or sustainability within the sector.
3. Appointment and termination of membership
Appointment
- Members are appointed by the board of the foundation.
- The appointment is based on the profile description, with the aim of ensuring broad and relevant representation within the Advisory Board.
Duration of membership
- A member is appointed for a period of 3 years.
- After this period, a member may be reappointed a maximum of once for a new term of 3 years.
Termination
- Expiration of term.
- (Written) resignation by the member.
- Termination by the board due to dysfunction or failure to comply with agreements.
4. Tasks and authority
The Advisory Board has the task of providing solicited and unsolicited advice on:
- The policy of the foundation.
- The development of the policy and its implementation.
- The board is not obliged to follow the advice of the Advisory Board, but must provide reasons for deviating from the advice.
- The Advisory Board has no formal decision-making authority within the foundation.
5. Way of working
- The Advisory Board meets at least twice a year. The Manager of the Green Gear Alliance will schedule and facilitate these moments.
- Additional meetings may be convened at the request of the Board or a majority of the Advisory Council.
- Decision-making within the Advisory Board takes place by consensus. If consensus is not feasible, a vote is taken; a proposal is adopted by a majority of votes.
- The meetings are chaired by a designated person from the Advisory Board.
6. Changes
- Changes to the profile and tasks can be made by the board of the foundation.
- The Advisory Board is consulted prior to any changes.
7. Other
For matters not described here, the board of the foundation decides, taking into account the articles of association.
